Roles inside a company

    Company secretary and compliance officer

The officer responsible for board processes and for a listed company's compliance with SEBI's listing rules.

    Background

Under the LODR Regulations, a listed company must appoint a qualified company secretary as its compliance officer. The company secretary is also a key managerial personnel under the Companies Act.

    Scope and powers

The compliance officer handles disclosures to stock exchanges, board and shareholder meeting processes, and investor grievances. Failures can bring exchange fines; Ambuja Cements, for example, disclosed in its FY 2024-25 BRSR a case of delayed appointment of a company secretary under LODR Regulation 6(1).

    Investor relevance

Frequent changes in the company secretary or compliance officer, or repeated exchange fines, are governance warning signs.
