Corporate governance
ESG & GovernanceThe system by which companies are directed and controlled, including who makes decisions, who checks them and how shareholders are protected.
The definition comes from the UK's Cadbury Report of 1992. Governance covers the board, its committees, the auditors, shareholder rights, related-party deals, pay and disclosure. In India, most listed companies have a controlling promoter, so the central governance problem is protecting minority shareholders from the controlling shareholder. The main rules are the Companies Act 2013 and SEBI's LODR Regulations.
