Lead independent director

    ESG & Governance

A senior independent director who leads the other independent directors, especially when the chair is not independent.

The role is common in the US and the UK, where it is often called the senior independent director. The lead independent director chairs meetings of independent directors, acts as a channel for shareholder concerns and helps evaluate the chair. Indian law does not require the role, but some listed companies appoint one voluntarily. It is most useful where the chair is also the promoter or the chief executive.
