Promoter group
ESG & GovernanceThe promoter together with close relatives and the companies, firms and trusts the promoter controls.
The promoter group is defined in SEBI's ICDR Regulations. It matters because the rules on disclosure, pledging, related-party deals and voting apply to the whole group, not just the named promoter. Under LODR, every member of the promoter group is a related party of the listed company, whatever their shareholding. When analysing a promoter's position, add up holdings and pledges across the whole group.
