Nomination and remuneration committee (NRC)
ESG & GovernanceThe board committee that oversees appointments to the board and senior management, succession and pay policy.
Under Section 178 of the Companies Act and LODR Regulation 19, the NRC of a listed company must have at least three non-executive directors, at least two-thirds of them independent, with an independent chair. It sets criteria for director appointments, recommends the remuneration policy, oversees board evaluation and plans succession. Its pay disclosures are the starting point for judging whether executive pay is linked to performance.
