Stakeholders' relationship committee (SRC)

    ESG & Governance

The board committee that handles complaints and service issues of shareholders and other security holders.

Under Section 178(5) of the Companies Act and LODR Regulation 20, listed companies must have an SRC chaired by a non-executive director, with at least three directors including one independent director. It deals with complaints about transfers, dividends, annual reports and meetings, and reviews the work of the share registrar. A high or rising number of unresolved investor complaints is a small but useful governance signal.
