Proxy advisor
ESG & GovernanceA firm that analyses shareholder resolutions and recommends how institutional investors should vote.
The main proxy advisors in India are Institutional Investor Advisory Services (IiAS), InGovern Research Services and Stakeholders Empowerment Services (SES). SEBI regulates them under its Research Analysts Regulations, and its 2020 guidelines require them to disclose their methods, manage conflicts of interest and share their reports with the company as well as with clients. Their reports are a useful second opinion on related-party deals, director appointments and pay.
