Proxy voting
ESG & GovernanceVoting on shareholder resolutions, usually by an institution on behalf of its clients, without attending the meeting in person.
In India, mutual funds must vote on resolutions of the companies they hold and publish each vote with reasons. ESG schemes must also say when they voted for ESG reasons. Votes on director appointments, executive pay and related-party transactions are the most useful to watch, because institutions can sometimes defeat them.
